Terms of Implementation Agreements

1 SOFTWARE

1.1 Software
Accomplice Solutions agrees to provide the Customer with the software set and to implement the Software for the Customer. The Customer acknowledges and agrees that Accomplice Solutions makes no representations or gives no warranties whatsoever in relation to the Software. The Customer must comply with the terms and conditions imposed by any owner of the Software.

1.2 Not Error Free
The Customer acknowledges and agrees that the Software is not error free, and that the Software may contain errors. Any errors in the software should be comunicated with the software provider directly.

2 FEES

2.1 Payment of Fees
Implementation Fees can be paid 50% up front and 50% as work progresses toward completion, or upfront to include a 5% discount if the implementation fee is over $5,000 plus GST. Fee payments will be arrange verbally between the customer and Accomplice Solutions.

2.2 Payment of Subscriptions and Support Licence Agreement Fees
Software and Support subscription amounts will be invoiced on the 1st of each month and direct debited from the customers nominated bank account on the 15th of that month. No action will be required by the customer for the payment of these fees.

2.3 Refund of Implementation Fees
50% of Accomplice Solutions are non refundable under any circumstances. If the unlikely situation arises where the software is not suitable for the customer, or the customer cancels the implementation, Accomplice Solutions will charge a fee commensurate with the progress made on the project, calculated on a percentage basis.

3 TERMS AND TERMINATION

3.1 Term
This agreement commences on the Commencement Date and continues until terminated.

3.2 Termination of Agreement
Either party may terminate this agreement at any stage by giving notice to the other party.

4 NO LIABILITY

4.1 No Liability
The parties agree Accomplice Solutions is not liable for any loss, damage or cost incurred by the Customer whatsoever and that Accomplice Solutions makes no representation whatsoever as to its ability to deal with or grant access to the Software.

5 CONFIDENTIALITY

5.1 Non-Disclosure of Information
Accomplice Solutions agrees to keep confidential any information provided to Accomplice Solutions by the Customer that relates to the Customer’s business (“Confidential Information”). Accomplice Solutions will not disclose any Confidential Information to a third party without first obtaining the Customers consent in writing.

5.2 Exception to clause 5.1
Notwithstanding the preceding clause, Accomplice Solutions may disclose the Confidential Information if required to do so by law.

6 SUPPORT

6.1 Support
Accomplice Solutions provides support between the hours of 9am – 5pm Monday – Friday excluding public holidays. Rates charged will be dependent on support license agreement selected by the customer.

6.2 Free Support
Email support is offered by the solution provider at no extra cost to the customer.

6.3 No Accounting Support
Accomplice Solutions does not provide any accounting services or advice. Any accounting related questions should be directed to the customers accountant.

6.4 No Hardware Support
Accomplice Solutions does not offer any support or accept any liability for faults in any hardware you may use in your business. Hardware faults or issues should be directed towards your hardware vendor.

7 ACCEPTANCE

7.1 Acceptance of this Contract
This contract can be accepted by the customer online.

8 ADJUSTMENTS TO TERMS

8.1 Adjustments to Terms
Accomplice Solutions reserves the right to adjust these terms and conditions without notice.

 

Terms of Evaluation Agreements

1 SOFTWARE

Accomplice Solutions agrees to provide the Customer with the trial software and data set. The Customer acknowledges and agrees that Accomplice Solutions makes no representations or gives no warranties whatsoever in relation to the Software. The Customer must comply with the terms and conditions imposed by any owner of the Software.

The Customer acknowledges and agrees that the Software is not error free, and that the Software may contain errors. Any errors in the software should be communicated with the software provider directly.

2 FEES

2.1 Payment of Fees
Evaluation Fees can be paid 50% up front and the remaining 50% as works progress toward completion, or upfront to include a 5% discount if the implementation fee is over $5,000 plus GST. Fee payments will be arrange verbally between the customer and Accomplice Solutions.

2.2 Payment of Subscriptions Fees
Software subscription amounts incurred during the evaluation project will be invoiced to the client at the conclusion of the project.

2.3 Refund of Evaluation Fees
Once a trial software set has been established and an evaluation project commenced, the evaluation fees for the project are non-refundable under any circumstances. Evaluation fees are only refundable if the client cancels the acceptance of a proposal before providing Accomplice Solutions with required information to commence the Evaluation.

3 TERMS AND TERMINATION

3.1 Term
This agreement commences on the Commencement Date and continues until terminated.

3.2 Termination of Agreement
Either party may terminate this agreement at any stage by giving notice to the other party.

Terms of Support Licence Agreement

1 TIMING OF SUPPORT

1.1 Support timing
Accomplice Solutions provides support between the hours of 9am – 5pm Monday – Friday excluding public holidays.

1.2 Christmas Break
Accomplice Solutions will also not provide support for a two week period over the Christmas break. The customer will be be given notice of these dates at the beginning of December.

1.3 Appointment
Appointment booking is required for any Skype or onsite meetings. An appointment can be booked by emailing or calling a support agent.

1.4 Allocation of Support Agent
The customer is advised to request their preferred support agent, however Accomplice Solutions reserve the right to appoint the customer support agent as seen fit.

2 LIMITATIONS OF SUPPORT

2.1 No Accounting Support
Accomplice Solutions does not provide any accounting services or advice. Any accounting related questions should be directed to the customers accountant.

2.2 No Hardware Support
Accomplice Solutions does not offer any support or accept any liability for faults in any hardware you may use in your business. Hardware faults or issues should be directed towards your hardware vendor.

2.3 Not Error Free
The Customer acknowledges and agrees that the Software is not error free, and that the Software may contain errors. The fastest way of dealing with software errors is directly with the software provider via email. If is Accomplice Solutions is contacted by the customer regarding software errors, the query will be passed onto the software provider.

2.4 Free Support
Email support is offered by the software provider at no additional cost to the customer.

2.5. Additional Training Requirement
Accomplice Solutions reserves the right to require the customer to undertake additional training on the applications if the customer is putting an unreasonable amount of pressure on the support team. What is deemed an unreasonable amount of pressure is at the discretion of the support consultant.

3 FEES

3.1 Payment of Fees
Fees are due on the 15th of each month and will be direct debited from the customers nominated bank account.

3.2 Early Termination Fee
Early termination fees are due within 7 days of invoice.

4 TERMS AND TERMINATION

4.1 Term
This agreement commences on the date the customer confirms this agreement and continues for a minimum of 12 months.

4.2 Termination of Agreement
The customer may terminate this agreement by giving written notice to Accomplice Solutions. A termination fee may apply. Accomplice Solutions reserves the right to terminate a support agreement at any time without prior notice.

4.3 Termination of Fee
For early termination the customer is required to pay 75% of the remaining fee due on the 12 month contract. The customer may terminate this agreement at no fee 12 months after the agreement commencement date.

5 NO LIABILITY

5.1 No Liability
The parties agree Accomplice Solutions is not liable for any loss, damage or cost incurred by the Customer whatsoever and that Accomplice Solutions makes no representation whatsoever as to its ability to deal with or grant access to the Software.
